4. OTHERS

4.1 IDC's decisions on all matters pertaining to the IDC Circle are final. Chance plays no part in any aspect of this program.

4.2 IDC reserves the right to amend, vary or supplement the terms and conditions herein, without giving prior notice to the Program Member and such amendment, variation or supplement shall take effect from the date specified in such notice or in the absence thereof, as from the date of such notice. All Program Members shall be bound by any such variations or terminations. The Program Members should update themselves for any amendments by referring to our Terms & Conditions via the Online Address.

4.3 The terms and conditions shall be interpreted, construed and governed by the laws of the Republic of Singapore and the Program Member hereby submits to the non-exclusive jurisdiction of the Singapore Courts.

4.4 By accessing and/or registering on the IDC Circle, the Program Member authorises IDC to use or disclose the Program Member's personal information and particulars, such as but not limited to name, mail and email addresses, phone number to any persons the IDC may deem fit for the purpose of the IDC Circle or of IDC matters, including sending the Program Member electronic messages. [In addition, unless otherwise requested by the Program Member, IDC may use this information in any media for future promotion, marketing and publicity purposes, without any further reference, payment or other compensation to the Program Member, including sending the Program Member electronic messages.] A request to access, update or correct any information held by IDC should be directed to:

4.6 Subject to applicable laws and without limit in point of time, IDC, IDC vendors and IDC marketing partners and the Third Parties shall not be liable in any way and for any reason whatsoever to the Program Members whether in contract, tort or otherwise for any direct or indirect loss or damage howsoever caused (including without limitation negligence) or arising directly or indirectly from:

a) Any breach or failure by IDC to perform any of the obligations set out in these terms and conditions;

b) Any error, omission or inaccuracy in any information provided by IDC (or any information and/or data available on the IDC Circle) whether to the Program Member or to any person and whether in any publication or as part of or in connection with the implementation, administration or conduct of the IDC Circle;

c) Any defect, deficiency, breakdown of software, technology or system or loss, corruption or deletion of data supplied by the Program Member;

d) The IDC Circle and all and any information or data displayed or available on the IDC Circle;

e) Any failure or delay by the IDC in replying to queries from the Program Members.

f) The acceptance and use of any Executive Reports, Information, Extra items or any entitlement/items.

4.7 IDC shall not be liable for any failure by any Program Member to enroll in and/or access and/or log into the IDC Circle for any reason whatsoever. The IDC shall not be liable for any failure by any Program Member to access the Online Address for any reason whatsoever.

4.8 IDC has the right to amend, modify or cancel each part or all of the IDC Circle as well as the Terms and Conditions at any time without prior notice to the Program Member.

4.9 IDC shall not be responsible or liable for any loss or delay in the delivery of any item or executive report purportedly sent to the Program Members pursuant to the IDC Circle and the Program Members hereby agree to be bound by the terms and conditions of any logistics and/or fulfilment and/or marketing and/or technology company used by IDC for purposes of such delivery.

4.10 The Program Member hereby warrants and confirms that his/her access to the IDC Circle is not illegal or prohibited according to the laws of his/her country/region and any other applicable laws and that he/she has obtained all necessary approvals, consents and licences to enable him/her to access the IDC Circle. The Program Member further warrants and confirms that he/she shall not hold IDC nor any of IDC’s vendors/partners responsible and liable for any loss, damage or breach whatsoever in connection with or arising from the Program Member’s access to the IDC Circle..
